GREENFIELD ENQUIRIES LTD · TERMS OF SERVICE

Terms & Conditions

These terms explain how our business research and commercial information verification services are requested, agreed, delivered and paid for. They also describe the respective responsibilities of Greenfield Enquiries and its clients.

Company No. 16635799 Business Research & Information Verification United Kingdom
Please read these terms before commissioning a service. An enquiry submitted through our website is a request for information and does not, by itself, confirm an assignment, create a payment obligation or reserve a research slot. A service engagement begins only when the scope, applicable fee, expected timeframe and other material arrangements have been agreed and accepted.

01About these terms

These Terms & Conditions govern the use of the Greenfield Enquiries website and the business research and commercial information verification services supplied by GREENFIELD ENQUIRIES LTD (“Greenfield Enquiries”, “we”, “us” or “our”).

Our company is registered in England and Wales under company number 16635799. Our contact email is enquiries@greenfieldenquiries.services and our telephone number is +44 7769 623699.

“Client”, “you” and “your” refer to the person or organisation enquiring about, requesting or purchasing our services. Where an individual acts on behalf of a business, that individual confirms that they have authority to make the relevant request and agree contractual arrangements for that business.

These terms should be read alongside the written quotation, assignment confirmation and any specific scope or service arrangements agreed with you. Where a specific written assignment agreement expressly varies these terms, that agreement will take precedence for the matter it specifically addresses.

Nothing in these terms excludes or restricts a legal right that cannot lawfully be excluded or restricted.

02Our services

Greenfield Enquiries provides business research and commercial information verification services to help clients examine available information about companies, prospective suppliers, commercial partners and other relevant business entities.

Depending on the agreed assignment, work may include:

  • Reviewing relevant publicly available company records and published business information.
  • Examining relevant materials lawfully supplied by the client.
  • Comparing information across identified sources to highlight differences, gaps or inconsistencies.
  • Recording relevant findings and source references where available.
  • Preparing a written summary or report describing findings, limitations and unresolved points within the agreed scope.

The precise work undertaken depends on the individual assignment. Only services expressly included in the accepted quotation or written confirmation form part of the engagement.

Unless separately agreed in writing and lawfully permitted, our services do not include legal advice, statutory auditing, regulated professional opinions, specialist technical inspections, formal certification, or a guarantee of another party’s conduct or commercial performance.

We do not promise that a research assignment will establish that a business or individual is trustworthy, financially secure, suitable for a particular transaction or likely to perform in a particular way.

03Enquiries, quotations and acceptance

3.1 Initial enquiry

You may contact us through the website form, by email or by telephone. We may ask for further information to understand the research objective, the entity concerned, the intended use of the findings and any relevant deadlines.

Submitting an enquiry does not mean that we have accepted the assignment. We may need to assess whether the requested work is sufficiently clear, feasible, lawful and within our service scope before offering a quotation.

3.2 Quotation and agreed scope

Where we are able to propose an assignment, the quotation or written confirmation should identify, as applicable:

  • The research subject and intended purpose.
  • The tasks, sources or research areas included in the scope.
  • The expected report format and agreed delivery method.
  • The estimated completion timeframe and any dependencies.
  • The total fee, applicable taxes if any, payment requirements and payment deadline.
  • Any agreed exclusions, assumptions, additional work or special arrangements.

If a quotation states an expiry date, it remains open for acceptance until that date, subject to any express conditions in the quotation. If no expiry date is stated, we may ask you to reconfirm availability and pricing before accepting a later request.

3.3 When an assignment begins

An assignment is accepted only after the material arrangements have been agreed by both parties through a clear written confirmation or another expressly agreed method. If an advance payment is a condition of starting work, that condition must also be satisfied.

We will not treat an unanswered quotation, an automatically generated website acknowledgement or a general enquiry as confirmation that paid work has been commissioned.

04Research scope and limitations

4.1 Sources and availability

Research is based on sources reasonably available and relevant to the agreed assignment. These may include public records, published business materials and information lawfully provided by the client.

Sources may be incomplete, delayed, outdated, inconsistent, inaccessible or subject to their own publication practices. Some information may not be publicly available or may not be capable of independent verification within the agreed scope.

4.2 Findings are not guarantees

Our reports describe findings supported by the information reviewed during the assignment. They are not guarantees of identity, financial standing, honesty, future behaviour, contractual performance or the outcome of a commercial decision.

An absence of adverse information in the sources reviewed does not establish that no relevant issue exists. Equally, a discrepancy or an unresolved point should not automatically be treated as proof of misconduct or wrongdoing.

4.3 No automatic ongoing monitoring

Unless a continuing service has been separately agreed, an assignment is limited to the work and period described in the confirmation. We are not responsible for monitoring subsequent changes or notifying you of later developments after the assignment has been completed.

4.4 Client decisions

You remain responsible for deciding how to use the report and whether to proceed with a supplier, partner, transaction or other commercial arrangement. You should obtain independent professional advice where the nature, value or legal effect of a decision makes it appropriate.

05Fees, invoices and payment

5.1 Pricing

Fees are set out in the quotation or other written agreement for the assignment. The price will reflect the agreed scope, expected research effort, deliverable and any additional arrangements specifically identified before acceptance.

No fee is payable merely because you submit a general enquiry. Payment becomes due only in accordance with the payment terms agreed for an accepted assignment.

5.2 Payment arrangements

The quotation or invoice will identify the applicable payment amount, payment method and due date. Any required deposit, staged payment or payment before work begins must be stated in the agreed arrangements.

You are responsible for providing accurate billing information and ensuring that an authorised payment method is used. We will not knowingly request payment for work that has not been agreed.

5.3 Additional work

If you request further entities to be researched, a materially expanded scope, additional source checks, a revised report beyond the agreed correction process or other work outside the original scope, we will explain the proposed additional fee and any effect on timing before undertaking that work.

Additional charges will not be imposed for out-of-scope work that you have not agreed to, except where a charge is otherwise lawfully due under the contract or applicable law.

5.4 Invoices and payment concerns

If you believe an invoice is incorrect, contact us promptly with the invoice reference and a description of the issue. We will review the query and explain any correction or outstanding amount. Raising a genuine invoice query does not remove any legal rights either party may have.

Where an undisputed payment remains overdue, we may give reasonable written notice and, where legally permitted, pause further work until the issue is resolved. Any interest, recovery cost or other charge will be sought only where contractually agreed and legally permitted.

06Timescales and report delivery

6.1 Estimated completion time

The expected completion date or timeframe will be communicated in the quotation or assignment confirmation. A stated estimate is based on the agreed scope, the information available and the assumptions identified at the time.

Unless a deadline is expressly agreed as binding in writing, estimated dates are planning targets rather than a guarantee that every source will be available or every question will be conclusively resolved by that date.

6.2 When the timeframe starts

Where the assignment depends on client instructions, documents or clarification, the working timeframe will normally begin once the assignment has been accepted, any required initial payment has been received and the necessary information has been supplied.

6.3 Delays and scope changes

If a material delay becomes apparent, we will explain the reason, where reasonably possible, and provide an updated estimate. Delays may arise from unavailable records, source access restrictions, incomplete instructions, clarification requests or an agreed change to the scope.

If a change to the scope is likely to affect the fee or completion date, we will seek your agreement before proceeding with the additional work.

6.4 Delivery format and method

The report format and delivery method will be agreed for each assignment. Where an electronic report is agreed, it may be delivered by email or another mutually agreed electronic method. The confirmation should identify the actual delivery arrangement.

Please ensure that your contact details and nominated recipient are accurate. We may ask you to verify the recipient before sending confidential material.

6.5 Completion

The assignment will ordinarily be treated as delivered when the agreed report or other specified deliverable has been sent or made available through the agreed method. This does not remove any rights you may have if the service or deliverable fails to meet the contract or applicable law.

07Client responsibilities

To enable us to carry out the agreed work, you agree to:

  • Provide clear, accurate and reasonably complete instructions.
  • Identify the business or entity to be researched as accurately as possible.
  • Supply documents or information only where you are lawfully entitled to share them.
  • Tell us about relevant restrictions, confidentiality obligations or known limitations affecting the supplied materials.
  • Respond within a reasonable time to requests for clarification that are necessary to progress the assignment.
  • Review the quotation, scope, exclusions and payment arrangements before accepting the work.
  • Use the completed report for a lawful purpose and in accordance with any agreed usage restrictions.

We may ask you to clarify or correct information that appears incomplete or inconsistent. If a necessary clarification is not provided, we may explain the limitation, revise the achievable scope with your agreement or decline to undertake work that cannot reasonably be completed as agreed.

You must not knowingly provide misleading instructions or materials, ask us to obtain information unlawfully, or request that research be used to harass, threaten, deceive or unlawfully discriminate against another person.

08Reports, feedback and corrections

8.1 Reviewing the deliverable

Please review the report after delivery and contact us if you believe it contains a factual error, omits an item expressly included in the agreed scope or does not reflect the agreed deliverable.

When contacting us, identify the relevant report section, the point in question and any supporting information that may help us investigate it.

8.2 Corrections and clarification

We will review a reasonable report-related query against the agreed scope and the sources available. Where we identify a factual or transcription error attributable to our work, we will take appropriate steps to correct it within a reasonable time.

A correction or clarification that addresses the original agreed work will not automatically be treated as a new paid assignment.

8.3 Requests beyond the original scope

New research questions, additional entities, newly requested source checks or a substantially different report may require a separate quotation. We will explain any proposed fee and timeframe and obtain agreement before carrying out that additional work.

8.4 Research limitations

A report is not necessarily defective simply because a public source changes after research, a source later publishes new material, or an issue cannot be conclusively resolved from the available evidence. We will, however, consider whether the report accurately described the sources reviewed and the limitations reasonably apparent during the assignment.

09Cancellation, termination and refunds

9.1 Cancellation before an assignment is accepted

You may withdraw an enquiry or quotation request before an assignment is accepted without an assignment fee becoming payable merely because the enquiry was submitted. This does not affect any separate obligation that has already been validly agreed.

9.2 Cancellation by agreement

After an assignment has been accepted, either party may ask to cancel it. The parties should confirm the cancellation in writing, including any work already completed, any sums already paid and any outstanding deliverables or lawful payment obligations.

For business clients, the financial consequences of cancellation will be determined by the agreed contract, the work performed, any applicable cancellation terms and the law. We will not treat unperformed work as automatically payable merely because a cancellation request has been made.

9.3 Consumer cancellation rights

If you are a consumer entering into a qualifying distance or off-premises service contract, you may have a statutory right to cancel within 14 days after the day the contract is entered into, subject to applicable law and any lawful exceptions.

If you ask us to begin work during that cancellation period, we will obtain the express request and acknowledgements required by law where applicable. If you then cancel after work has begun, you may be required to pay a proportionate amount for services properly supplied up to cancellation, where the legal conditions for that charge are satisfied.

Where a service is fully performed during the cancellation period, the right to cancel may end only if the applicable legal conditions are met, including the required express request and acknowledgement. We will not rely on a blanket statement in these terms to remove a right that has not lawfully ended.

Important: If statutory cancellation information is required for your contract, it should be supplied before the contract is concluded. These terms do not replace any separate cancellation notice, form or consent record that the law requires.

9.4 Refund assessment

Refunds will be assessed in accordance with the agreed contract and applicable law. Where a refund is due, we will explain the amount and arrange it within the applicable legal or agreed timeframe.

For qualifying statutory cancellations, any reimbursement will be made using the original payment method unless you expressly agree otherwise, and no reimbursement fee will be imposed where prohibited by law.

If you believe a service has not been delivered as agreed, contact us with the assignment reference and details of the issue. We will review the matter and consider the remedies available under the contract and applicable law.

9.5 Cancellation by us

We may decline to start or may need to discontinue an assignment where it cannot lawfully or reasonably be performed, essential information is unavailable, a material client obligation remains unresolved after reasonable notice, or circumstances outside our reasonable control prevent continuation.

Where we cancel an accepted assignment, we will explain the reason where reasonably possible and address any refund, payment or partial-delivery issue in accordance with the contract and applicable law.

10Intellectual property and permitted use

10.1 Our materials

Unless otherwise agreed, intellectual property rights in our original report wording, research framework, working methods, templates and other materials created independently by us remain with their respective rights holders.

10.2 Use of a commissioned report

Once the agreed fees have been paid, you may use the report for the purpose described in the assignment confirmation, subject to third-party rights, confidentiality obligations and applicable law.

Unless the assignment agreement permits otherwise, you must not present our report as a formal certification, statutory audit, legal opinion or endorsement that we have not provided. You must not materially alter the report in a way that misrepresents our findings or attribute statements to us that we did not make.

10.3 Third-party material

Information reproduced or referenced from third-party sources may be subject to the rights, terms of use or reuse restrictions of those sources. Your use of such information must respect those applicable terms.

10.4 Website content

Website text, branding and original materials may not be copied, republished or commercially exploited without permission, except where permitted by law. This restriction does not override lawful quotation, criticism, review or other statutory exceptions.

11Confidentiality and data protection

11.1 Confidential information

Each party should take reasonable care to protect confidential information received from the other party and use it only for the agreed assignment or another lawful purpose.

Information is not treated as confidential to the extent that it is already lawfully public, was independently developed, was lawfully received from another source without a duty of confidence, or must be disclosed under a legal obligation.

11.2 Personal information

We handle personal information in accordance with our Privacy Policy and applicable data protection law. Depending on the circumstances, this may include information submitted through the website, contact details, assignment instructions and information contained in materials relevant to an agreed research task.

We will use information only where there is an appropriate lawful basis and for purposes consistent with our published privacy information and the relevant assignment.

11.3 Lawful handling of research materials

We will not knowingly agree to obtain or use information through unlawful access, deception or another method prohibited by applicable law. Clients must not ask us to breach a legal duty or ignore applicable restrictions on the use of information.

11.4 Security and retention

We take reasonable measures appropriate to the nature of the information to protect assignment materials against unauthorised access, loss or disclosure. Information is retained in accordance with our operational needs, contractual duties and applicable legal requirements.

No method of electronic transmission or storage can be guaranteed to be completely secure. If you need to send sensitive documents, contact us first to agree a suitable method.

Further details about personal information, retention and data rights are provided in our Privacy Policy.

12Acceptable use of our website and services

You must not use our website or services to:

  • Submit information you know to be materially false in order to mislead us or distort the research.
  • Request unlawful access to private accounts, restricted systems or protected information.
  • Obtain, disclose or use personal information unlawfully or for an unlawful purpose.
  • Harass, threaten, intimidate or unlawfully discriminate against another person.
  • Misrepresent our findings, identity, role or work product to a third party.
  • Interfere with the security, integrity or proper operation of the website.

We may refuse a request or suspend work where we reasonably believe that continuing would be unlawful, materially inconsistent with the agreed scope or likely to compromise the proper handling of information.

Where appropriate, we will explain the issue and give you an opportunity to clarify the request before deciding whether the work can proceed.

13Liability and matters outside our control

13.1 Standard of service

We will perform the agreed services with reasonable care and skill and in accordance with the applicable contract and legal obligations.

13.2 Research information and external sources

We take reasonable care in carrying out the agreed research, but information originating from external sources may change or contain errors. We cannot guarantee the completeness, accuracy or future availability of information controlled by third parties.

This does not remove our responsibility to carry out the agreed work with the standard of care required by law or to address errors attributable to a failure on our part.

13.3 Decisions based on a report

Reports support the research purpose agreed with the client; they are not a substitute for every investigation, professional opinion or due diligence procedure that a particular transaction may require. You remain responsible for assessing whether further checks or advice are appropriate.

13.4 Limits permitted by law

To the fullest extent permitted by applicable law, we are not responsible for losses arising from matters outside the agreed scope, unauthorised alteration or misleading presentation of a report, or use of a report for a purpose that was not agreed and could not reasonably have been anticipated.

Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

Where you are a consumer, these terms do not remove statutory rights or remedies, including rights relating to services that do not conform to the contract. Any limitation applying to a business client must be interpreted only to the extent permitted by law.

13.5 Events outside reasonable control

We are not responsible for delay caused by events outside our reasonable control, such as substantial disruption to relevant source systems, communications outages, public emergencies or other unforeseen circumstances. We will take reasonable steps to communicate material effects on the assignment.

This clause does not automatically cancel the contract, permit us to retain money that must legally be refunded, or remove any statutory remedy that applies.

14Complaints and dispute resolution

If you are dissatisfied with our service, communication, report or handling of an assignment, please contact us and explain the concern. Include the assignment or invoice reference where available and identify the outcome you are seeking.

We aim to acknowledge a complaint within 5 working days and provide a substantive response within 15 working days where reasonably possible. If the matter requires further investigation, we will explain the reason for the delay and provide an updated response estimate.

For this target, working days mean Monday to Friday, excluding public holidays in England. These are service targets and do not replace any statutory deadline or legal remedy.

We will review the issue fairly and consider relevant records, the agreed scope and any supporting information you provide. Where we identify an appropriate correction or other remedy, we will explain the proposed next step.

See our Complaints Policy for further details. Nothing in this section prevents either party from seeking legal advice or using a lawful dispute resolution route.

15Changes, governing law and general terms

15.1 Changes to these terms

We may update these website terms when our services, operational arrangements or legal obligations change. The version published on the website applies prospectively, subject to applicable law.

A change to website terms does not automatically vary an existing assignment agreement. Changes to an accepted assignment must be agreed where required by the contract or applicable law.

15.2 Governing law

These terms and any dispute or claim arising in connection with them are governed by the law of England and Wales, subject to any mandatory consumer protection rules that apply to your circumstances.

The courts of England and Wales shall have jurisdiction where legally appropriate. This clause does not prevent a consumer from relying on mandatory jurisdiction or protection rights available under applicable law.

15.3 Severability

If any provision is found to be unlawful, invalid or unenforceable, it will be limited or removed only to the extent necessary. The remaining provisions will continue to apply so far as legally possible.

15.4 No waiver

A failure or delay in exercising a contractual right does not automatically waive that right. A waiver must be established in accordance with applicable law and the circumstances.

15.5 Third-party rights

Unless expressly stated otherwise, a person who is not a party to an assignment contract does not acquire a right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

15.6 Entire agreement and written records

The accepted quotation, assignment confirmation and these terms should be read together as the record of the relevant engagement. No provision in this section excludes liability for fraud or overrides a legal requirement that a contractual term be fair, transparent or binding.
